Corporate Paralegal (Engagement, Remote, In-House)

Job Description

Corporate Paralegal (Engagement)

Latitude Legal is seeking a Corporate Paralegal for a full-time (40 hours per week) engagement with our client, a fast-growing digital infrastructure and data center company. This is an in-house, generalist role supporting the legal team across governance, entity management, commercial contracts, real estate, and litigation.

The ideal candidate is organized, proactive, and comfortable owning processes end to end. You will manage the company's contract routing workflow, keep legal projects on track, and take a first pass at contract review. Experience with Ironclad or a similar contract lifecycle management (CLM) platform is a strong plus.

Responsibilities

  • Corporate governance: Prepare board and committee materials, consents, resolutions, and minutes; maintain minute books and governance records.
  • Entity management: Maintain the entity database and organizational charts; handle formations, qualifications, annual reports, registered agent matters, and good-standing certificates.
  • Contract routing: Own and implement the internal contract routing process. Identify the right stakeholders for review and approval, and prepare the executive summary contract routing form for each agreement.
  • Contract review: Take a first pass at commercial agreements, NDAs, vendor and customer contracts; flag deviations from standard terms and escalate issues to counsel.
  • CLM administration: Manage agreements in the company's CLM system (Ironclad or similar), including intake, workflows, executed-contract storage, and reporting.
  • Real estate: Support site acquisition, leasing, and property matters, including tracking key dates, assembling closing documents, and coordinating title and diligence materials.
  • Diligence: Gather and organize documents for financing, M&A, and investor diligence requests; build and maintain virtual data rooms.
  • Litigation support: Coordinate responses to discovery requests, collect and organize documents, and track deadlines with outside counsel.
  • Project tracking: Maintain trackers for legal matters, deadlines, and deliverables; report status to the legal team and business stakeholders.

Basic Requirements

  • 5+ years of corporate paralegal experience, ideally in an in-house legal department or a law firm corporate group
  • Generalist background across corporate governance, entity management, and commercial contracts
  • Experience supporting real estate transactions and litigation discovery
  • Experience managing due diligence requests and data rooms
  • Comfort building and running internal processes, including contract intake and approval workflows
  • Strong organization, attention to detail, and the ability to manage multiple deadlines
  • Excellent written and verbal communication with attorneys and business stakeholders
  • Bachelor's degree and/or paralegal certificate
  • Strong professional references

Preferred:

  • Experience with Ironclad or a similar CLM platform (e.g., Agiloft, DocuSign CLM, Icertis)
  • Experience taking a first pass at contract review and redlining against a playbook
  • Experience in data center, telecommunications, technology, or infrastructure industries

Position Details

  • Type of role: Engagement
  • Schedule: Full-time
  • Location: Remote/WFH (United States)

Compensation and Benefits

  • Annualized pay of $90,000 to $[100,000]+, depending on experience, qualifications, location, and market conditions
  • Professional liability insurance coverage for contract legal professionals
  • Full benefits (medical, dental, vision, life, LTD, AD&D) for W2 employees working 20+ hours per week
